Terms of Service
What changed in version 2.1
Version 2.1 covers features added since version 2.0: simulated forward tests (Section 4.3); MetaTrader 5 and Python exports (Sections 5.5 and 5.6); your choice of market-data provider and the limited price data we store for forward tests (Sections 7.1 and 7.4); and token packs and the Pro monthly token allowance (Section 6.4). Nothing in version 2.1 lets the Platform connect to a brokerage account or place an order.
What changed in version 2.0
On September 28, 2026 Argix Labs stopped connecting to brokerage accounts and stopped placing orders. The Platform is now a place to build, backtest and export trading bots; you run what you export yourself. These Terms describe that service. The sections on broker credentials, order authorization and automated execution were removed, and new sections cover exported code (Section 5), AI features (Section 6), market data (Section 7) and billing (Section 8). Version 1.0 governs anything that happened before the change.
These Terms of Service (“Terms”) are a legally binding agreement between you (“User,” “you,” or “your”) and Argix Labs, LLC, a Delaware limited liability company (“Argix Labs,” “we,” “us,” or “our”). They govern your access to and use of our website, bot builder, backtesting engine, code export, AI assistants, documentation and related services (together, the “Platform”).
BY CREATING AN ACCOUNT, CLICKING “I AGREE,” OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
1. Nature of the Platform
1.1. What the Platform Is. Argix Labs is a software-as-a-service tool for designing trading strategies (“bots”) from modular components, testing them against historical market data (“backtesting”), and exporting them as code or specifications that you can run elsewhere. The same tools are offered to every user. We sell software, not trading signals, strategies, investment advice or asset management.
1.2. No Broker Connection, No Orders. The Platform does not connect to your brokerage, exchange or trading account, does not ask for or accept credentials for one, and does not place, route, modify or cancel orders. Every trade shown on the Platform is simulated. Whether, where and how you trade is entirely up to you.
1.3. Not a Regulated Financial Firm. Argix Labs is not a registered broker-dealer, investment adviser, commodity trading advisor, commodity pool operator, futures commission merchant, exchange or equivalent under federal or state law. Argix Labs does not hold, transmit or have custody of, or access to, your funds or securities at any time.
1.4. Not Investment Advice. Nothing on the Platform — including components, presets, templates, backtest results, risk calculations, AI-generated content, exported code, documentation or blog posts — is investment advice, a recommendation, or a solicitation to buy or sell any financial instrument. We do not consider your personal financial circumstances, and nothing on the Platform is tailored to them. All trading decisions are yours alone.
1.5. No Fiduciary Duty. Argix Labs does not owe you any fiduciary duty and does not act as your agent, trustee or adviser. Our relationship is solely that of a software provider and its customer.
1.6. You Build It. Every bot, strategy, parameter, risk limit and piece of logic on the Platform is configured by you, including when an AI feature suggests it (Section 6). You are solely responsible for what you build and for anything you do with it.
2. Eligibility
- You must be at least 18 years of age (or the age of majority in your jurisdiction).
- You must have legal capacity to enter into binding contracts.
- You must not be located in a jurisdiction where use of the Platform is prohibited, and you are responsible for knowing whether it is.
- You represent that you are not subject to sanctions administered by OFAC or equivalent bodies, and that you will not use the Platform on behalf of anyone who is.
3. Account Registration and Security
- You must provide accurate, complete, and current registration information.
- You are responsible for keeping your account credentials confidential and for all activity under your account.
- You must notify us promptly of any unauthorized access to your account.
- Never enter brokerage or exchange credentials into the Platform. It has no use for them, and a request for them made in our name is not from us.
4. Backtesting
4.1. Hypothetical Results. Backtests replay a bot against historical data under simplifying assumptions (for example, fills at the bar’s price with the slippage and commission you set). Results are hypothetical, are not a record of real trading, and do not predict future performance. Section 9 and the Risk Disclosure Statement describe their limitations.
4.2. What a Backtest Cannot Model. Some components cannot be simulated or can be only approximated. Where we know this, the backtest says so in its result. The absence of such a note is not a guarantee that a backtest reflects how a strategy would behave in a live market.
4.3. Forward Tests. On plans that include it, a forward test runs a bot on market data as it arrives after you start the test. It is a simulation, not trading: it places no orders, sends no alerts, and is computed by the same engine and under the same assumptions as a backtest, so Sections 4.1 and 4.2 apply to it. A forward test runs the bot as it was when the test started; later edits to the bot do not change it. It uses only completed bars, and its results can change when a data provider revises past bars, which the Platform reports when it detects it. A forward test is updated when you view or refresh it, not continuously, and may pause or fail when its data provider is unavailable.
5. Exported Code and Your Own Trading
5.1. What Export Produces. The Platform can translate a bot into code or a specification for use outside Argix Labs: a TradingView Pine Script strategy, a MetaTrader 5 Expert Advisor (MQL5), a standalone Python script, or a JSON specification of the bot. Which targets you can use depends on your plan. Exported material is generated automatically from your configuration. We keep a record of each export (the bot, the target and its version, and when) for support and plan limits.
5.2. An Export May Differ From the Bot. A target language may not be able to express every part of a bot; for example, Pine Script cannot enforce an account-wide daily loss limit. The Platform lists what an export leaves out, and in Strict mode refuses the export instead. You must read that list. Exported code may also behave differently from the Argix backtest because of differences in data, fills, timing and the platform that runs it. We do not warrant that exported code compiles, runs, or reproduces any backtest result.
5.3. You Run It. Once exported, code is outside the Platform. Argix Labs does not host, operate, monitor, update or stop it, and cannot see what it does. If you connect exported code to a brokerage or exchange account, directly or through a third-party platform, you do so on your own initiative, under your agreements with those parties, and at your own risk. You are responsible for reviewing and testing exported code before using it with real money; we strongly recommend a paper or demo account first.
5.4. Third-Party Platforms. Platforms that run exported code (such as TradingView or MetaTrader 5) and any brokers they connect to are independent of Argix Labs. We have no partnership with them unless we say so expressly, and we are not responsible for their services, terms, fees, outages or conduct.
5.5. MetaTrader 5 Expert Advisors. Argix Labs cannot compile MQL5, so an exported Expert Advisor has been checked as text only; you compile it yourself in MetaEditor. As exported, it trades only in the MetaTrader Strategy Tester. It can trade on an account only after you change its InpAllowLiveTrading setting yourself. Doing so is your decision under Section 5.3; the Platform takes no part in it and is not told of it.
5.6. Python Scripts. An exported Python script runs on price data you supply (for example, a CSV file) on your own computer. It uses the same indicator calculations as the Argix backtest, but its results depend on your data and environment and may still differ. As exported, it places no orders and connects to no broker or exchange. If you change it to do so, that is your code and your decision under Section 5.3.
6. AI Features
6.1. What They Do. AI features (including Neural Core and the builder copilot) generate suggestions, explanations and bot configurations using third-party language models. Their output is produced automatically, may be incomplete, wrong or unsuitable, and is not investment advice.
6.2. You Review It. Anything an AI feature places on your canvas opens as a draft. You are responsible for reviewing every block and parameter, and for backtesting, before relying on it.
6.3. Model Providers and Keys. Where an AI feature uses an API key you supply, your use of that provider is governed by your agreement with it, and requests are sent to the provider you chose. Do not submit personal, confidential or regulated information to an AI feature. If we offer paid AI usage, Section 6.4 applies.
6.4. Neural Tokens. Where AI features run on our model account, they are paid for in Neural tokens. A message is charged from the amount of model usage it actually consumed, and a request that fails is not charged; the Platform shows your balance and an estimate before you send. You receive tokens as a one-time grant when you verify your email, as a monthly allowance while you are on a paid plan that includes one (on a yearly plan, the allowance is still granted monthly), and by buying token packs. A token pack is a one-time purchase processed by Stripe; it is not a subscription and does not renew. Pack sizes and prices are shown before you buy. To protect the service, AI features may be paused for everyone for the rest of a day when overall usage reaches a daily limit; no tokens are charged while they are paused. Tokens are a prepaid credit for Argix Labs features only: they have no cash value, cannot be transferred, sold or exchanged, and are not refundable except where required by law. Purchased tokens do not expire. Tokens we grant for free (at sign-up, or with a paid plan) do not currently expire either; if that changes, we will say so before it applies. Deleting your account forfeits any remaining balance.
7. Market Data and API Keys
7.1. Sources. Backtests and forward tests use market data from third-party providers. You choose the provider for each backtest and each forward test: by default a free public source, or another supported provider using your own API key. Every result names the provider its data came from. The Platform does not switch providers on its own: if the provider you chose is unavailable or has no key, the run is refused or fails rather than quietly using another source, and a forward test keeps the provider it started with. Data may be delayed, incomplete, adjusted or wrong, and we do not warrant its accuracy, whichever provider you choose.
7.2. Your Keys, Your Licence. When you use your own market-data key, you are the provider’s customer and licensee, and you must comply with its terms. We use your key only to fetch the data you request.
7.3. Storage. Keys you save with us are encrypted at rest, are never returned to your browser after saving, and are deleted when you remove them or delete your account. The Privacy Policy describes how.
7.4. Price Data We Keep. We generally fetch market data when a test needs it and do not keep it. The exception is a forward test whose provider stops serving older bars (for example, short-interval bars from the free public source): we store the bars that test has used, so it can be recomputed later. Stored bars are used only for that test, are not shown to other users or redistributed, and are deleted when you delete the test or your account.
8. Plans, Billing and Trials
- Some features require a paid plan. Plan features and prices are shown on the pricing page.
- Payments are processed by Stripe. Paid plans renew automatically each billing period until cancelled, at the price in effect at renewal.
- A free trial, where offered, converts to a paid plan at its end unless you cancel before then.
- Cancelling from Settings stops renewal: you keep your paid plan until the end of the current billing period, and your account then moves to the free plan. You can undo the cancellation until then. Except where required by law, amounts already paid are not refunded. Deleting your account (Section 16) ends a paid plan immediately.
- On the free plan you may keep one saved bot. If you move to it with more, nothing is deleted: the others become read-only until you upgrade or delete bots.
- We may change prices or plan features. Price changes take effect at your next renewal after we notify you.
- You are responsible for any taxes that apply to your purchase.
9. Trading Risks
IF YOU TRADE USING ANY STRATEGY, CODE OR IDEA FROM THE PLATFORM, YOU ACKNOWLEDGE AND ACCEPT THE FOLLOWING RISKS:
9.1. General Trading Risk. Trading financial instruments involves substantial risk of loss. You may lose some or all of your capital, and on margin or with derivatives you may lose more. Past performance is not indicative of future results.
9.2. Automated Trading Risk. Code that trades automatically can place many orders quickly, repeat an error across many trades before anyone notices, and behave unexpectedly in conditions its author did not foresee.
9.3. Backtest Limitations. Actual results will differ, often materially, from backtested results because of slippage, fees, market impact, liquidity, execution timing, survivorship bias, look-ahead bias, data quality and changes in market conditions.
9.4. Export Differences. Exported code may omit or change parts of a bot (Section 5.2) and may run differently on another platform.
9.5. Model Errors. Strategies, indicators and AI-generated configurations may contain logical errors or miscalibrated parameters.
9.6. Regulatory Risk. Laws governing trading and automated trading vary by jurisdiction and may change. You are responsible for complying with the laws that apply to you.
10. Assumption of Risk
You expressly assume all risks of using the Platform and of any trading you do, with or without code or strategies from the Platform. Argix Labs is not responsible for any trading losses you incur.
11. Disclaimer of Warranties
THE PLATFORM, INCLUDING BACKTESTS, EXPORTED CODE AND AI OUTPUT, IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. ARGIX LABS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; ANY WARRANTY REGARDING THE ACCURACY OR COMPLETENESS OF ANY DATA OR BACKTEST; ANY WARRANTY THAT EXPORTED CODE WILL COMPILE, RUN, OR MATCH ANY BACKTEST; AND ANY WARRANTY REGARDING TRADING RESULTS, PROFITABILITY, OR PERFORMANCE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARGIX LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, TRADING LOSSES, MISSED TRADING OPPORTUNITIES, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.
THE TOTAL AGGREGATE LIABILITY OF ARGIX LABS FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO ARGIX LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
Argix Labs has no liability for losses resulting from: (a) your trading decisions; (b) bots or code you create, export, modify or run; (c) the behaviour of exported code on any third-party platform; (d) brokers, exchanges or third-party platforms you use; (e) market data errors or delays; (f) AI-generated content; (g) market conditions or slippage; (h) downtime or third-party service failures; or (i) unauthorized access to your account resulting from your failure to secure your credentials.
13. Indemnification
You agree to indemnify, defend, and hold harmless Argix Labs and its members, managers, officers, employees, agents, licensors and service providers from any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Platform; (b) any trading you do, including with exported code or strategies from the Platform; (c) your distribution of exported code or strategies to others; (d) your violation of these Terms or of any law or regulation; or (e) your negligence or willful misconduct.
14. Intellectual Property
14.1. The Platform. The Platform, including its software, components, designs, documentation and content, is owned by Argix Labs and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use it for your personal or internal business purposes.
14.2. Your Strategies. You retain ownership of your strategies, bot configurations and other content you create. You grant Argix Labs a limited licence to store, process and display them solely to provide and improve the Platform.
14.3. Exported Code. Exported code expresses your configuration. To the extent it contains material generated by the Platform, we grant you a perpetual, worldwide, royalty-free licence to use, modify and run that code for your own purposes, including after your account ends. You may not sell or offer exported code as a product that reproduces or competes with the Platform.
15. Acceptable Use
You agree not to: (a) use the Platform or exported code for any unlawful purpose, including market manipulation or fraud; (b) reverse-engineer, decompile, or scrape the Platform except as permitted by law; (c) interfere with the Platform’s operation or security; (d) circumvent plan limits, rate limits or access controls; (e) share your account; (f) redistribute market data obtained through the Platform in breach of its provider’s terms; (g) represent that you are affiliated with, or endorsed by, Argix Labs; or (h) present Platform output, backtests or exported code to others as investment advice from Argix Labs.
16. Termination
You may delete your account at any time from Settings → Profile. We may suspend or terminate your account, with or without notice, for violation of these Terms or where required by law.
When your account ends: (a) your saved bots, forward tests and any price data stored for them, and stored API keys are deleted from our systems, subject to legal retention requirements; (b) code you have already exported remains yours under Section 14.3; and (c) your licence to use the Platform ends.
Sections 4–7, 9–14, 17 and 19, and any provisions that by their nature should survive termination, survive it.
17. Discontinued Live-Trading Service
Until September 28, 2026 the Platform could connect to supported brokerage accounts and submit orders for bots you deployed. That service has ended. Stored brokerage credentials were deleted, and the Platform has placed no orders since. Version 1.0 of these Terms continues to govern that service and anything that happened under it.
18. Modifications
We may modify these Terms by posting updated Terms on the Platform. Material changes will be communicated by email or in-app notification at least 30 days before they take effect for existing accounts.
Your continued use of the Platform after the effective date of modified Terms constitutes acceptance.
19. Dispute Resolution
Governing Law. These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
Mandatory Arbitration. Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by JAMS in accordance with its then-current rules. The arbitration shall be conducted in Wilmington, Delaware.
CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Either party may seek injunctive relief in a court of competent jurisdiction for violations of intellectual property rights or confidentiality obligations.
20. Miscellaneous
- Entire Agreement. These Terms, together with the Privacy Policy, Risk Disclosure Statement, Electronic Consent, Cookie Policy and any terms presented at purchase, are the entire agreement between you and Argix Labs.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- Waiver. Failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force Majeure. Argix Labs is not liable for any failure or delay caused by events beyond our reasonable control.
- Contact. Questions about these Terms: legal@argixlabs.com
